Terms of Service

1. Service Description

CharterKit is a software-as-a-service platform that helps small sailing boat and yacht owners manage their charter operations. The Service provides tools for booking management, contract generation, crew list handling, guest portals, document management, and financial tracking.

CharterKit does not own, operate, or crew any vessels. We are a technology provider. All charter agreements are between the boat owner and their guests.

2. Account Terms

  • You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service.
  • You must provide accurate and complete registration information. You are responsible for keeping your account credentials secure.
  • One person or legal entity may maintain no more than one free account. Multiple paid accounts are permitted.
  • You are responsible for all activity that occurs under your account.
  • We reserve the right to suspend or terminate accounts that violate these terms.

3. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights.
  • Upload or transmit malicious code, viruses, or any harmful data.
  • Attempt to gain unauthorized access to other accounts, systems, or networks connected to the Service.
  • Misrepresent your identity or affiliation with any person or entity.
  • Use the Service for any purpose other than managing legitimate charter operations.
  • Resell, redistribute, or sublicense access to the Service without prior written consent.

4. Payment Terms

  • Paid plans are billed annually per boat. Prices are listed on the CharterKit website and may be updated with 30 days' notice.
  • All payments are processed securely through Stripe. CharterKit does not store your payment card details.
  • Subscriptions renew automatically unless cancelled before the renewal date. You may cancel at any time from your account settings.
  • Refunds are provided on a pro-rata basis for the unused portion of the billing period if you cancel within the first 30 days.
  • We reserve the right to suspend access to paid features if payment fails after reasonable notice and retry attempts.

5. Data and Content

You retain all ownership rights to the data and content you upload to the Service, including booking records, contracts, guest information, and documents. CharterKit does not claim any intellectual property rights over your content.

You grant CharterKit a limited license to host, store, and process your content solely for the purpose of providing and improving the Service.

6. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.
  • CharterKit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
  • Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid to CharterKit in the twelve (12) months preceding the claim.
  • CharterKit is not responsible for the legality, accuracy, or completeness of contracts, crew lists, or other documents generated through the Service. You are responsible for ensuring compliance with local maritime and port authority regulations.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Hellenic Republic (Greece), without regard to its conflict-of-law provisions. Where applicable, European Union regulations -- including but not limited to the General Data Protection Regulation (GDPR) and the Digital Services Act (DSA) -- shall prevail over conflicting national provisions.

8. Dispute Resolution

Any dispute arising out of or in connection with these Terms shall be resolved as follows:

  1. Informal resolution: The parties shall first attempt to resolve the dispute through good-faith negotiation for a period of thirty (30) days from written notice of the dispute.
  2. Mediation: If informal resolution fails, the parties agree to submit the dispute to mediation under the rules of the Athens Mediation and Arbitration Centre (AMAC).
  3. Jurisdiction: If mediation is unsuccessful, the dispute shall be submitted to the exclusive jurisdiction of the courts of Athens, Greece.

EU consumers retain the right to bring proceedings in the courts of their country of residence in accordance with applicable consumer protection regulations.

9. Changes to These Terms

We may update these Terms from time to time. We will notify registered users of material changes via email at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
